Terms of Service

01Agreement to these terms

These Terms of Service ("Terms") are a legal agreement between you and [LEGAL ENTITY NAME], trading as STX+ ("STX+", "we", "us", "our"), registered at [REGISTERED BUSINESS ADDRESS]. They govern your access to and use of stxplus.com, the STX+ dashboard, STX+ Premium, STX+ Floor, our mobile applications and any related tools, content and communications (together, the "Service").

By creating an account, purchasing a subscription or otherwise using the Service, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not use the Service.

02Eligibility and accounts

• You must be at least 18 years old and have the legal capacity to enter into a binding contract in your jurisdiction.
• You are responsible for making sure that your use of the Service is lawful where you live. The Service is not directed at anyone in a jurisdiction where its use would be prohibited.
• You must provide accurate information when you register and keep it up to date. You are responsible for all activity under your account and for keeping your password secure. Tell us immediately at the address in section 18 if you suspect unauthorised access.
• Accounts are personal. You may not share, sell or transfer your account or your subscription.

03What STX+ is, and what it is not

STX+ provides software tools, data visualisations, screeners, alerts, calculators and educational content about public markets. STX+ is not, and does not act as:

• a broker, dealer, broker-dealer, exchange or trading venue;
• an investment adviser, financial adviser, financial planner, portfolio manager or research analyst providing personalised recommendations;
• an asset manager, fund, collective investment scheme or custodian; or
• a bank, payment institution or any other regulated financial institution.

We do not manage, hold, invest, move or have any access to your money or securities. We cannot place, modify or cancel trades on your behalf. We do not accept deposits and do not pay returns. Any subscription fee you pay us is solely a fee for access to software and content.

Nothing in the Service is an offer, solicitation or recommendation to buy, sell or hold any security, derivative, cryptocurrency or other financial instrument, or to adopt any investment strategy.

04No investment advice

All content in the Service, including signals, "anomalies", alerts, scores, rankings, charts, leaderboards, notes, member posts and educational material, is general, impersonal information provided for educational and informational purposes only. It does not take into account your objectives, financial situation, knowledge, experience or needs, and it is not a substitute for advice from a licensed professional.

A signal or alert flags that something in public data is unusual. It is not a prediction and not a reason, on its own, to trade. You should independently verify any information before relying on it and consider consulting a licensed financial adviser, tax adviser or legal professional before making any investment decision.

05You make your own decisions

You are solely responsible for your own investment, trading and financial decisions and for their outcomes. By using the Service you acknowledge that:

• every decision to buy, sell or hold any instrument is made by you, on your own behalf, using your own judgement;
• investing and trading involve substantial risk, including the risk of losing some or all of the money you invest, and some products (such as options or leveraged instruments) can lose more than your initial investment;
• past performance, historical signals, back-tested results, leaderboard rankings and other members' results do not indicate or guarantee future results; and
• you will not hold STX+ responsible for any loss, missed gain or other outcome of any decision you make.

06Market data and public information

The data shown in the Service is compiled from publicly available sources, including regulatory filings and disclosures (for example SEC EDGAR filings such as Forms 4, 13D, 13G, 10-Q and 10-K), government disclosure databases (for example U.S. Senate Lobbying Disclosure Act filings), FINRA and exchange-published volume statistics, company announcements and third-party market data providers.

We do not have, seek or use material non-public information. STX+ organises, filters, calculates and presents public information; it does not create it.

Data may be delayed, incomplete, revised by its source, or contain errors or omissions, and third-party sources may change or stop providing data without notice. Prices and quotes may be delayed and are not suitable for real-time trading. We provide all data "as is" and make no warranty as to its accuracy, completeness, timeliness or fitness for any purpose.

07STX+ Floor (member trading community)

STX+ Floor lets approved strategists build a public simulated Strategy track record and, when connected, optionally share brokerage positions and trades with other members. Members can view, follow and receive alerts about shared activity. Strategy activity and public track-record information remain part of the member's Floor profile while the feature is active. STX+ Floor is currently in beta; features may change, be interrupted or be withdrawn.

Sharing your trades is by your consent

• Approved strategists can use the simulated Strategy Account without connecting a brokerage. Connected brokerage trades appear only if you enable sharing. You can pause sharing, hide tickers, delay posts, hide dollar amounts, leave the leaderboard or disconnect at any time from My portfolio & privacy.
• Supported brokerage connections are read-only and may use direct broker APIs or connection partners. STX+ never receives your broker login and cannot place trades or move money in your account.
• You are responsible for ensuring you are permitted to share information about your own account and that anything you post (including notes) is accurate, lawful and not misleading.

Following other members is at your own risk

• Choosing to follow a member, turn on trade alerts, or act in any way on another member's positions, trades, notes, badges or rankings is entirely your own decision, made by your own choice and consent.
• Other members are not employees, agents, representatives or advisers of STX+, and STX+ does not verify their identity, qualifications, strategies or intentions. We do not endorse, recommend or vouch for any member or any trade they make.
• Broker-verified trades reflect changes detected from broker data. Strategy activity is simulated and is not a brokerage instruction or live account record. Broker-sourced activity, when shared, may be delayed (including by the member's chosen posting delay), incomplete, or not reflect the member's full position, costs, taxes or other holdings. A trade shown as an "entry" or "exit" may not be the price or time at which you could trade.
• Returns, profits, win rates, leaderboard positions and badges (such as Sniper, Quick Draw, Shark or Whale) are calculated automatically from shared data, are not audited and do not predict future performance.
• STX+ does not offer copy-trading or automatic trade execution. If you place a trade because of something you saw on STX+ Floor, you do so on your own behalf, through your own broker, at your own risk.

To the maximum extent permitted by law, STX+ is not liable for any loss, damage, cost or missed opportunity arising from your decision to follow, copy, mirror or otherwise act on the activity of any member of STX+ Floor.

Preview content

While STX+ Floor is in beta, some feed items, profiles, rankings and badges may be preview content used to demonstrate how features work. Preview content is labelled in the Service and does not represent the trades or results of real members.

08Subscriptions, billing and cancellation

• Plans. STX+ Premium is offered as a recurring subscription billed monthly, every 3 months or every 6 months, at the price shown at checkout.
• Automatic renewal. Your subscription renews automatically at the end of each billing period at the then-current price, and your payment method is charged, until you cancel.
• Cancellation. You can cancel at any time from My Account → Subscription & payment. Cancellation stops future renewals; you keep Premium access until the end of the period you have already paid for.
• No refunds. Except where refunds are required by applicable law, all payments are final and non-refundable, including for partially used periods and unused features.
• Promo and referral codes. Discount codes apply only as described when issued (for example, STX10 gives 10% off the first month of the monthly plan for first-time subscribers). Codes have no cash value, cannot be combined unless we say so, and may be withdrawn at any time. We may cancel discounts obtained in breach of their conditions.
• Payments are processed by Stripe. We do not see or store your full card number.
• Price changes. We may change subscription prices with reasonable advance notice. Changes apply from your next renewal; you can cancel before then if you do not accept the new price.
• EU/UK consumers. You may have a statutory 14-day right to withdraw from a digital services contract. By starting your subscription and accessing Premium immediately, you expressly request that the service begins during the withdrawal period and acknowledge that you lose your right of withdrawal once the service has been fully provided, or, where the law provides, that you may be charged for the portion supplied before you withdrew.

09Acceptable use

You agree not to:

• use the Service for any unlawful purpose, including market manipulation, "pump and dump" schemes, spreading false or misleading information about any security, front-running or insider trading;
• use STX+ Floor or any profile, note or post to solicit money, offer paid signals, advertise investment services, or present yourself as providing investment advice;
• scrape, crawl, copy, resell, redistribute or commercially exploit the Service or its data, or build a competing product from it;
• reverse engineer, interfere with or attempt to bypass security, rate limits or access controls, or access accounts or data that are not yours;
• impersonate any person or misrepresent your identity, broker, holdings or results; or
• upload malware or harass, abuse or threaten other users.

We may remove content and suspend or terminate accounts that break these rules, without refund.

10Intellectual property and licence

The Service, including its software, design, text, graphics, logos, compilations of data and the STX+ name and marks, is owned by or licensed to [LEGAL ENTITY NAME] and protected by intellectual property laws. Subject to these Terms and payment of any applicable fees, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Service for your own personal, non-commercial purposes.

You keep ownership of content you post (such as trade notes and profile details). You grant STX+ a worldwide, royalty-free licence to host, display and distribute that content within the Service as needed to operate it, in line with your privacy settings.

11Third-party services

The Service relies on and links to third-party services, including brokerage connection (SnapTrade), payments (Stripe), hosting (Netlify), accounts and database (Supabase), email (Resend) and market data providers. Your use of those services may be subject to their own terms and privacy policies. We are not responsible for third-party services, websites or data, or for any loss caused by their availability, accuracy or conduct.

12Disclaimer of warranties

To the maximum extent permitted by law, the Service and all content, data, signals and tools are provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including any warranties of accuracy, completeness, timeliness, merchantability, fitness for a particular purpose, non-infringement, or that the Service will be uninterrupted, secure or error-free. STX+ does not warrant that use of the Service will result in any profit or prevent any loss.

13Limitation of liability

To the maximum extent permitted by law, STX+ and its owners, directors, employees, affiliates and partners shall not be liable for any trading or investment losses, lost profits, lost opportunities, loss of data, or any indirect, incidental, special, consequential, exemplary or punitive damages, arising out of or relating to the Service, any data or content, any member's activity on STX+ Floor, or any decision you make, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Service is limited to the greater of (a) the subscription fees you paid to STX+ in the twelve (12) months before the event giving rise to the claim, or (b) one hundred euros (€100).

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or your statutory rights as a consumer.

14Indemnity

To the extent permitted by law, you agree to indemnify and hold harmless STX+ and its owners, employees and partners from any claims, losses, liabilities and expenses (including reasonable legal fees) arising from your use of the Service, your content, your trading or investment activity, or your breach of these Terms or of any law.

15Suspension and termination

You can close your account at any time by contacting us. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Service. If we discontinue the Service entirely, we will give reasonable notice where possible. Sections that by their nature should survive termination (including sections 3 to 7, 10, 12 to 14 and 16) will survive.

16Governing law and disputes

These Terms are governed by the laws of [COUNTRY OF REGISTRATION], without regard to conflict-of-law rules. The courts of [COUNTRY OF REGISTRATION] have jurisdiction over any dispute, except that if you are a consumer you may also bring proceedings in the courts of the country where you live, and you keep the protection of any mandatory consumer laws of that country.

Before starting formal proceedings, please contact us so we can try to resolve the matter informally. EU consumers may also use the European Commission's online dispute resolution platform.

17Changes to these terms

We may update these Terms from time to time. We will post the updated version on this page with a new "Last updated" date and, for material changes, notify you by email or in the Service before they take effect. If you continue to use the Service after changes take effect, you accept the updated Terms.
